Terms of Use

By accessing or using the Hybrid Angel Energy website, services, applications, or platforms (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, you are not authorized to use the Services.

Hybrid Angel Energy reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

Capitalized terms used herein shall have the meanings set forth below:

You represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have the full power and authority to enter into these Terms.
• You are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist-supporting" country.
• You are not on any list of prohibited or restricted parties (including but not limited to the OFAC sanctions lists).

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are solely responsible for safeguarding your login credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. Hybrid Angel Energy is not liable for any loss or damage arising from your failure to comply with this section.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use. You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Services or Hybrid Angel Materials.
• Reverse engineer, decompile, or attempt to extract the source code of any software forming part of the Services.
• Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks.
• Attempt to gain unauthorized access to any user accounts, computer systems, or databases.
• Use any robot, spider, or other automated means to access the Services for any purpose without our express written permission.
• Violate any applicable laws or regulations.

All rights, title, and interest in and to the Services, including all Content and Hybrid Angel Materials, are and will remain the exclusive property of Hybrid Angel Energy and its licensors. The Hybrid Angel Energy name, logo, and all related names, trademarks, product and service names, designs, and slogans are trademarks of Hybrid Angel Energy or its affiliates. You may not use such marks without our prior written permission.

You retain ownership of any content you submit, post, or display on or through the Services. By submitting content, you grant us a worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and distribute such content solely to provide and improve the Services.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HYBRID ANGEL ENERGY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HYBRID ANGEL ENERGY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Hybrid Angel Energy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any content you submit.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of such courts.

You agree that any cause of action arising out of or related to the Services must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
